Role Summary

A member of our Treasury team, the Senior Stock Plan Administrator covers a wide range of operational and administrative activities, partnering closely with global internal functions as well as external third-party providers to manage day to day processes and procedures for on-going accurate delivery of equity programs. In this role you are exceptionally analytical, possess great follow-up and time management skills, and enjoy utilizing tools like Excel. You thrive when working independently in a fast-paced, rapidly evolving environment.


What You Will Do


Stock Plan


  • Administer and execute all equity programs, both domestic and international, in accordance with plan and local requirements
  • Support effective on-going administration of award and participant data working with internal functions.
  • Maintain and update stock databases
  • Partner with the internal communications and HR teams to develop effective employee communications and promotional material; Support and develop employee communications and educational programs including presentations, webinars, responding to employee inquiries, and creating training/educational materials • Be a point of contact for participants and internal functions to address equity-related questions
  • To act in a customer service capacity to manage incoming shareholder / participant enquires on employee or shareholder equity and shareholdings, such as questions on sale transactions and current shareholdings
  • Collaborate with legal, finance and HR teams as required.
  • Ensure compliance with federal, state and foreign regulations along with securities


Stock Transactions


  • Ensure accurate grant agreements are issued and coordinate delivery of grant communications; track employee grant acceptance and taxpayer status certifications, following up with equity plan participants as needed
  • Process employee stock transactions, included stock releases and exercises, and ensure timeliness and accuracy of all transactions
  • Coordinate the process of grant and vest communications
  • Administer organization enrolments and purchases
  • Assist with effecting global mobility changes




  • Support the business with stock plan reporting data as required
  • Collaborate with Finance, Human Resources, Payroll, Legal and SOX teams on stock reporting requirements
  • Prepare and provide information to employees about vesting schedules, exercise process and eligibility
  • Distribute payroll reports to global payroll and finance teams when shares are released
  • Conduct monthly, quarterly as well as yearly reporting inclusive of information needed for SEC filings and (global) tax authority reporting
  • Develop quarterly organizational disqualified disposition reports along with year-end tax statements
  • To help with audit queries related to share transactions
  • Collaborate in the preparation of SEC filings and regulatory reporting (Form 4, Section 16, 10-K, 10-Q, Annual Report/Proxy, etc.)
  • Assist with reporting to the Compensation Committee as required



  • Act as an SME for stock plans within the Group
  • Lead and direct contact for relationship with the 3rd party stock plan system vendor; manage the partnership and contract with the vendor; and, hold regular review meetings to review performance and proactively drive through improvements
  • Support the cross charging of tax monies and LTI consultancy costs to local countries, including all reconciliations
  • Ensure the team has up-to-date documented processes
  • Perform to enhance efficiencies, processes, and accuracy of data


What You Will Bring


  • Bachelor's Degree in Accounting, Finance, or related concentration
  • 7+ years of senior-level experience in administration of global equity programs in a US public company
  • Experience managing a variety of stock-based compensation types and high transaction volume, including stock options, restricted stock units, phantom, and performance-based stock awards and ESPP
  • Knowledge of regulatory and compliance matters as they relate to equity, both U.S. and international
  • Strong technical awareness and know-how of accounting, legal and tax implications on equity programs.
  • Familiar with SEC filings, trading windows, 10b5-1 Plans, and stock ownership guidelines for Section 16 officers and directors
  • Experience with major third-party equity software systems and brokerage firms
  • Strong verbal, written and interpersonal communication skills with an ability to communicate effectively with all levels of employees and internal/external partners
  • Strong analytical abilities and advanced Excel skills
  • Excellent project management skills and ability to prioritize work
  • Self-motivated, detail-oriented team player with a strong work ethic and an ability to work well under pressure and meet deadlines
  • Ability to effectively operate in a fast-paced environment, prioritize, multi-task, deliver high quality results within established timeframes and go the extra mile
  • Strong technical background, with experience in stock-based compensation accounting (ASC 718).
  • Prior experience designing, implementing, documenting and performing Sarbanes-Oxley processes and controls
  • Certified Equity Professional preferred (or in the process of obtaining certification)
  • US based –east coast locations preferred
