Role Summary:

Sophos, a global security software company, is in search of experienced, pragmatic, and technically minded attorney to join our legal team. This role reports to the Director, Corporate Legal and is fully remote. 


What You Will Do:

  • Assist with preparation and development of periodic reports on forms 10-Q and 10-K, current reports on form 8-K, Section 16 filings, proxy statement and other required reports filed with the SEC and coordination of annual shareholder meetings and materials
  • Lead Sophos’ legal securities compliance program with corporate governance policies including the Company’s Insider Trading and Regulation FD Policy
  • Partner with Investor Relations, HR, Finance, Tax and Marketing on earnings releases, investor communications, disclosure documents and other public announcements
  • Support the company's Disclosure Committee, disclosure controls and procedures and internal control over financial reporting
  • Support Director, Corporate Legal in M&A transactions, including negotiations and transaction documents
  • Support Finance on treasury policy, negotiating and documenting financing transactions, monitoring compliance with financial covenants under debt instruments and documenting intercompany corporate transactions
  • Support Human Resources in matters relating to executive compensation, equity-related and other compensation plans
  • Assist Facilities with negotiation and review of real estate leases
  • Serve as a resource to all members of the legal team in addressing corporate issues as they impact or apply to their areas of responsibility


What You Will Bring:

  • JD and bar membership in at least one state
  • 6-9+ years of relevant experience in well-regarded law firm and/or in-house legal department; Experience in-house at a public company, within the tech industry, preferred
  • Deep experience with corporate governance, SEC periodic filings, incentive equity plans and investor relations; IPO experience a plus
  • Thorough understanding of and ability to apply SEC rules, exchange listing standards and other regulatory requirements applicable to publicly-traded companies
  • Experience structuring and managing M&A transactions, drafting and negotiating transaction documents and managing post-closing integration
  • Experience with real estate leases and commercial agreements is a plus
  • Proven ability to translate technical knowledge into pragmatic advice that appropriately balances legal risks with commercial needs
  • Strong interpersonal skills with an ability to successfully interact with senior management
  • Self-starter with ability to execute tasks efficiently with sound business judgment and attention to detail
  • Ability to manage and prioritize a complex workload is essential for this role
